Your Mission:

As General Counsel, you will be responsible for a broad range of traditional counsel responsibilities such as contract drafting, risk and compliance, and corporate reporting and oversight. Beyond that, our General Counsel provides important contributions to our core business by overseeing our loans and investment portfolio during underwriting and through management/oversight of special loans. You will be on our credit committee, providing second level analysis of underwriting on certain loans and oversee the escalation of special loans, including management of liens, litigation, and outside counsel. You have a depth of knowledge regarding the litigation process with the ability to review and assess the strength of our clients’ contingent cases. You are a self-starter who can juggle multiple projects while providing solid legal advice across a range of areas. You are able to serve as a generalist and learn new legal areas as needed and also have the capacity for high detail and excellence. You are a natural pattern spotter and seek continual improvement. You have an interest in participating in a wide range of business growth and strategy efforts in addition to a more standard practice role.

Your Day to Day:

• Corporate

  • Consult with management to assist in corporate structure needs, planning including acquisitions and new partnerships

  • Ensure compliance with various corporate formalities

• Contracts

  • Assist in the drafting and negotiation of a range of contracts, including loan agreements but also more general corporate contracts such as third-party service provider contracts, employment agreements, and NDAs

  • Oversee corporate agreements with capital sources, interacting with our lenders, investors and their counsel as well as our outside counsel

• Risk and Compliance

  • Advise management team on various legal risks relating contracts, lending, employment, data privacy, and litigation matters.

  • Monitor industry developments to stay abreast of potential regulatory changes and implications for the business

  • Manage any disputes that may arise from time to time involving employees, service providers

• Underwriting & Case Assessment

  • Draw upon litigation expertise to help analyze the strength of law firm clients and their portfolio of cases

  • Serve as part of the investment committee, providing second legal review of complex underwritings and cases

• Portfolio Management

  • Oversee the escalation of distressed clients, ranging from contract restructuring to liens, litigation, and collections

  • Continue to build upon existing legal department processes to allow for further scalability and efficiencies

QUALIFICATIONS:

• JD degree from an ABA accredited law school

• License to practice in good standing in North Carolina

• Minimum of 8+ years litigation experience

• Strong preference for someone who also has in-house or corporate experience, or a business litigation background that results in a familiarity with commercial contracts.

• Flexible and adaptable problem-solving approach that provides the ability to develop scalable and business-minded solutions

• Strong organizational and management skills
